A. General Terms and Conditions

1. Scope

1.1 These terms and conditions of Silinova GmbH (hereinafter referred to as the “seller”) apply to all contracts with the seller entered into by a consumer or entrepreneur (hereinafter referred to as “customers”) for the goods and/or services offered in the seller’s online shop. Unless otherwise agreed, the inclusion of any customer conditions is excluded.

1.2 A ‘consumer’ as referred to herein is any natural person who enters into a legal transaction for a purpose which cannot be attributed to a commercial or self-employed professional activity. An entrepreneur is any natural or legal person or a legal partnership making a legal transaction in his, her, or its commercial or professional capacity.

2. Entering into a purchase agreement

2.1 The products shown in the online shop do not represent a binding offer from the seller, but instead merely allow customers to make contractually binding offers to the seller.

2.2 Customers can submit the offer by using the online order form integrated in the seller’s online shop. After entering their personal data and by clicking the “Submit Order” button, customers are making a legally binding offer to enter into an agreement to purchase the goods and/or services included in the basket. Customers can also submit their offers by telephone, fax, email, or letter.

2.3 The seller is free to accept the customer’s offer within five days,

  • by sending the customer a written confirmation by post, fax, or email, the date on which the customer receives this confirmation being decisive, or
  • by delivering the goods ordered to the customer, where the date on which the first delivery attempt is made is decisive, or
  • by asking the customer for payment after handing over the customer’s order to the delivery service.

If several of the above-mentioned alternatives apply, the agreement becomes binding at the time the first alternative occurs. If the seller fails to accept the offer of the customer within the aforementioned period, this will be considered a rejection of the offer which means that the customer is no longer bound by the offer.

2.4 The period for the seller to accept the offer commences on the day after and ends on the fifth day after the customer submits the offer.

2.5 The order is processed and contact is usually handled by email and automated order processing. Customers must ensure that the email address they provide is correct, so that emails from the seller are received. In particular, customers must ensure that the use of spam filters does not hinder the delivery of emails related to the order sent by the seller or authorized third parties.

3. Return costs when exercising your right of return

If the customer is a consumer, she is granted an unconditional money-back guarantee in place of a right of rescission. Customers may find out the details of their right of return from the seller’s return policy.

4. Prices and payment terms

4.1 The prices quoted by the seller are final prices and include statutory VAT. Any additional delivery and shipping costs will be separately disclosed in the relevant product description.

4.2 The customer has several payment options as indicated in the online shop.

4.3 If pre-payment is agreed, then payment is due immediately after the order has been accepted by the seller.

5. Shipping terms and conditions

5.1 Delivery is made to the delivery address provided by the customer. The order will be processed based on the addressed provided during the checkout process. Alternatively, if customers pay via PayPal, the delivery address set up within PayPal will be used.

5.2 If the transport company sends the goods back to the seller because delivery to the customer was not possible, the customer shall bear the costs of the failed delivery. This does not apply if the customer exercises her right of withdrawal by refusing to accept delivery, or if she is not responsible for the circumstance which made the delivery impossible, or if she was temporarily prevented from accepting delivery unless the seller had notified her of the service well in advance.

5.3 For logistical reasons, deliveries may not be collected by the customer.

6. Liability for defects

The statutory liability for defects applies.

7. Applicable law

7.1 The laws of the Federal Republic of Germany, excluding the laws on the international sale of goods, apply to all transactions between the parties. For consumers, this choice of law only insofar as the protection provided is revoked by mandatory provisions of the law of the State in which the consumer has his habitual residence shall apply.

7.2 If the customer is a merchant, a legal entity under public law or public special fund, the exclusive jurisdiction for any disputes arising under this contract shall be the registered office of the seller. If customers are domiciled outside the territory of the Federal Republic of Germany, the registered office of the seller shall be the exclusive place of jurisdiction for all disputes arising from this contract, if the contract or the claims arising from the contract can be attributed to the vocational or commercial activity of the customer. The seller is entitled, however, in the above cases, to bring the matter before the court holding jurisdiction over the customer’s registered office.

7.3 The contract language is German.

2. Information about the essential characteristics of the good or service offered
The essential characteristics of the goods are those found in the respective product description provided by the seller.


3. Information about entering into an agreement
The purchase agreement becomes binding on both parties as described in §2 of the seller’s general terms and conditions of the seller (see above).


4. Information about payment and delivery
Payment is made in accordance with §4 of the seller’s general terms and conditions (see above) in conjunction with the payment options described in the seller’s online shop. Delivery is in accordance with §5 of the seller’s general terms and conditions (see above).

5. Information about the technical steps that result in an agreement to purchase

5.1 In order to submit an offer using the seller’s online order form, customers must go through the following technical steps:
5.2 Place the product in the shopping cart.
5.3 Enter the billing and shipping addresses.
5.4 Select the desired payment method.
5.5 Review the cart.
5.6 Submit the order.
5.7 The offer to purchase is subject to the seller’s acceptance as described in §2.3 of its general terms and conditions of the seller (see above).

6. Information about storage of the contract text
The contract text will be saved by the seller and sent to the customer in writing once the order is shipped in addition to these terms and conditions and customer information. However, the contract text may no longer be accessible to customers on the seller’s website once the order has been shipped.

7. Information about the technical means to identify and correct incorrect entries
Before a binding order is submitted, customers can correct their entries using the standard keyboard and mouse functions. In addition, all entries will be displayed once again in a “Review Order” screen so that the customer may correct them using standard keyboard and mouse functions before submitting.


8. Information about the available contract languages
All contracts are exclusively in German.

9. Information on codes of conduct to which the seller is subject
The seller is subject to the honor code of Trusted Shops GmbH, which can be reviewed at http://www.trustedshops.de/shopbetreiber/qualitaetskriterien.html .

The european commission provides a platform for online dispute resolution (OS) which is accessible at http://ec.europa.eu/consumers/odr/. We are not obliged nor willing to participate in dispute settlement proceedings before a consumer arbitration board.
